Terms of Sales

Preamble

These general conditions of sale constitute, in accordance with article L. 441-6 of the Commercial Code, the sole basis of the commercial relationship between the parties.

Their purpose is to define the conditions under which the company VinoVirtual (hereinafter referred to as "VinoVirtual") provides the Client (hereinafter referred to as the "Client") who requests them with the services which will be referred to below.

They apply, without restriction or reservation, to all the services provided by VinoVirtual to Customers of the same category, regardless of the clauses that may appear in the Customer's documents, and in particular his general purchasing conditions.

In accordance with the regulations in force, these general conditions of sale are systematically communicated to any Customer who requests them, to enable him to place an order with VinoVirtual.

Any order for services implies, on the part of the Customer, the acceptance of these general conditions of sale.

The information appearing in the catalogs, prospectuses and prices of VinoVirtual are given for information only and may be revised at any time.

VinoVirtual is entitled to make any changes that it deems useful.

In accordance with the regulations in force, VinoVirtual reserves the right to derogate from certain clauses of these general conditions of sale, depending on the negotiations carried out with the Customer, by establishing special conditions which could appear under the terms of the quote validated by the Customer.



Article 1: object

These general conditions govern the services sold by the company VinoVirtual SAS with a capital of 1000 €, for the vinovirtual.online site, whose head office is located at 17 Rue Claude Bloch, 14076 Caen, registered under the SIRET number 893 247 452 00012.

The services sold relate to contacts and meetings by videoconference between wine buyers and winegrowers.


Article 2 - Registration

Registration for VinoVirtual is only open to professionals in the Wines and Spirits sector in France and abroad.


Article 3 - Price

The prices of the services offered on the vinovirtual.online site are indicated in euros excluding taxes (VAT rate and amount of other taxes applicable on the day of the order) unless otherwise indicated.

All the services ordered are payable in euros.

The service will be invoiced on the basis of the price in force on the day of the actual order and subject to availability.

For exhibitors (winegrowers), the purchase of a single exhibitor space is invoiced according to the chosen formula.

The price of the appointments obtained on the platform depends on the chosen formula.

Appointments are included and their number is unlimited in the "ALL INCLUSIVE" and "PREMIUM" packages.

Appointments made within the framework of the "Flexible" formula are priced at 89 € HT

For visitors (buyers), entry to each show is free and not invoiced.


Article 4 - Orders

All orders for services (registration and appointment) are made directly online via the registration buttons and pages of the vinovirtual.online site.

When the order is definitively accepted, a confirmation email is automatically sent.

The contractual information is presented in French and is confirmed at the latest at the time of validation of your order.


Article 5 - Confirmation of the order

Any order validation (registration and appointment) made on the vinovirtual.com site entails full and complete acceptance of these general conditions of sale, without exception or reservation.

All the data provided and the recorded confirmation have transaction value.

The customer declares to have taken full knowledge of the general conditions of sale.

The order confirmation constitutes signature and acceptance of the services ordered.

A summary of the order information is sent to the exhibitor at the e-mail address he provided when registering.


Article 6 - Payment

The validation of the order (registration and appointment) implies the payment of the whole thereof.

Payment is mainly made by credit card using the secure Stripe system.

In case of impossibility of payment by bank card, a transfer can be made.

The request for payment by transfer must be made by email (hello@vinovirtual.fr) or telephone. The elements necessary to pay for the registration will then be sent to the exhibitor.

The validation of the order will be effective as soon as the payment for the whole thereof will be paid in full.

Access to the show will only be possible in the event of full payment of the order.


Article 7 - Appointment guarantee

The appointment guarantee is only applicable for the "All inclusive" and "Premium" formulas. No refund can be made except in the case of our appointment guarantee.

Our appointment guarantee consists of guaranteeing 1 buyer appointment for any purchase of an "All inclusive" or "Premium" formula.

If an exhibitor refuses one or more buyers' appointments, he will not be able to claim the appointment guarantee.

If the exhibitor does not send any appointment request to buyers, he will not be able to claim the appointment guarantee either.

The "All-inclusive" or "Premium" exhibitor package is fully refunded if the exhibitor has not received any appointment proposal.

Article 8- Provision of services

VinoVirtual services are offered as long as they are active on the vinovirtual.online site and within the limits of availability.

If the service is unavailable after the exhibitor or visitor's order has been placed, information is sent by email. The order is then automatically canceled and no bank debit is made.


Article 9 - Liability

The services offered comply with current French legislation.

Furthermore, VinoVirtual cannot be held responsible for damage resulting from improper use of the service purchased. The responsibility of VinoVirtual can not also be engaged for all the inconveniences or damage inherent to the digital network and the Internet (in particular the quality of the signal and of the line), in particular poor quality of the WIFI signal, bandwidth rate lower than 1Mb / s , service interruptions, outside intrusion or the presence of computer viruses.


Article 10 - Applicable law in the event of disputes

These general conditions of sale are written in French. They are subject to French law. In the event of a dispute, the French courts will have sole jurisdiction.

In order to work together to resolve any dispute that may arise in the performance of this Agreement, the two parties will endeavor to resolve it amicably by meeting within thirty (30) days of the written receipt of the dispute.

In the event of a persistent disagreement and if at the end of a period of thirty (30) days from the written receipt of the dispute, the parties were unable to agree on a compromise or a solution, any dispute relating to the birth, execution or interpretation of this contract will be the competence of the commercial court of Caen.



Article 11 - Intellectual property

All the elements of the vinovirtual.online site are and remain the intellectual and exclusive property of VinoVirtual.

No one is authorized to reproduce, exploit, redistribute, or use for any purpose whatsoever, even partially without the authorization of VinoVirtual, elements of the site whether they are software, visual or sound.



Article 12 - Conditions of development

VinoVirtual grants itself the right to modify the articles of the general conditions of sale at any time.

The new general conditions of sale will be applicable to any new proposal or to any contract amendment issued after the date of publication.



Article 13 - Complaints

Any dispute or complaint can only be taken into consideration if it is formulated in writing and sent by registered letter to VinoVirtual within a period of fifteen (15) days maximum after the end of the event. paragraph



Article 14 - Force majeure / Fortuitous event

The responsibility of each of the parties cannot be implemented if the non-performance or delay in the performance of one of its obligations described in these general conditions of sale results from a case of force majeure or 'a fortuitous event.

As such, force majeure means any external, unforeseeable and irresistible event within the meaning of article 1148 of the Civil Code, beyond the control of VinoVirtual and hindering the performance of the services sold, in particular and as a '' examples acts of public power, hostilities, wars, natural disasters, riots, fires, floods, exceptional bad weather, strikes, blocking of telecommunications, breakdown of equipment distributing the service, interruption transport, energy supply, etc. (non-exhaustive list).

The party wishing to invoke an event of force majeure or a fortuitous event must immediately notify the other party of the beginning and the end of this event, otherwise it cannot be released from its responsibility.



Article 15 - Data confidentiality

The Customer is informed and accepts that his personal data can be collected by VinoVirtual which acts as data controller within the meaning of Law 78-17 of January 6, 1978 relating to Computing, Files and Freedoms as amended by the general data protection regulation 2016/679 dated April 27, 2016.

VinoVirtual does not share any personal data for commercial purposes with third parties.



Article 16 - Assignment of the order - Intuitu Personae

The order is not transferable, except with the express, prior and written agreement of the Parties. It is concluded taking into account in particular the personal, legal and contractual situation of the Parties on the date of signature hereof.

Consequently, each of the Parties undertakes not to assign or transfer, in any way and to anyone, the rights and obligations resulting therefrom.
